Welcome to JOETECH Express. These Terms of Service ("Terms") govern your access to and use of our website and the digital services we provide, including but not limited to website development, system building, CRM setup, automation workflows, and Voice AI deployment (collectively, the "Services").

By accessing our website or engaging JOETECH Express for our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Services Provided

JOETECH Express engineers digital systems for local service businesses. Our core services include:

- Custom website design, hosting, and maintenance.

- CRM (Customer Relationship Management) configuration and integration.

- Business automation and workflow system building.

- Proprietary Voice AI deployment for 24/7 call handling and lead qualification.

Specific project scopes, deliverables, timelines, and ongoing service requirements will be detailed in a separate Service Agreement or order form executed at the time of onboarding.

2. Fees, Subscriptions, and Payments

- One-Time Builds: Fees for custom website builds and initial system setups will be invoiced according to your specific Service Agreement. Work will not commence until the initial deposit is received.

- Recurring Services: Services such as website hosting, ongoing CRM access, and Voice AI line usage are billed on a recurring monthly or annual subscription basis.

- Late Payments: Failure to pay recurring subscription fees may result in the suspension or termination of your active services, including the disconnection of your Voice AI systems and website hosting.

- Refunds: Due to the custom nature of system building and digital architecture, all initial deposits and setup fees are non-refundable once work has commenced.

3. Client Responsibilities

To ensure the successful deployment of your systems, you agree to:

- Provide timely access to necessary assets, including brand logos, domain registrars, and existing software accounts.

- Ensure that all content, imagery, and information you provide for your website is accurate and owned by you.

- Use the Voice AI and CRM systems in strict compliance with all applicable local, state/provincial, and federal telemarketing and communication laws (e.g., TCPA, CAN-SPAM). You are solely responsible for obtaining the necessary consent from your customers to contact them via automated voice or SMS.

4. Voice AI and Automation Disclaimers

- AI Limitations: While our Voice AI is engineered for high-speed, accurate lead qualification, artificial intelligence is not infallible. JOETECH Express does not guarantee that the Voice AI will perfectly transcribe, understand, or successfully book 100% of inbound calls.

- Telecom Reliability: We rely on third-party telecom providers to route calls to the Voice AI. We are not liable for dropped calls, localized carrier outages, or bad reception on the caller's end.

5. Intellectual Property

- Client Ownership: You retain full ownership of your brand assets, logos, client lists, CRM data, and any original content you provide to us.

- JOETECH Express Ownership: JOETECH Express retains all proprietary rights, copyright, and ownership of the underlying code, automation sequences, workflow templates, and the proprietary Voice AI architecture used to build your systems.

- License: Upon full payment of your setup fees, we grant you a non-exclusive, non-transferable license to use the custom website and systems we have built for your business operations for as long as you maintain your active hosting/subscription agreements with us.

6. Term and Termination

- Month-to-Month Services: Recurring hosting and Voice AI services are provided on a month-to-month basis unless a longer term is specified in your Service Agreement.

- Cancellation: You may cancel your recurring services at any time by providing 30 days written notice.

- Termination for Cause: We reserve the right to suspend or terminate your Services immediately if you breach these Terms, use our systems for illegal activities, or fail to pay your invoices.

7. Limitation of Liability

Under no circumstances shall JOETECH Express be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, missed leads, lost revenue, or data loss arising out of the use or inability to use our Services. Our total liability for any claim arising out of these Terms shall not exceed the total amount paid by you to JOETECH Express for the specific service in the three (3) months preceding the claim.

8. Warranties and "As-Is" Provision

JOETECH Express provides its systems, websites, and Voice AI on an "as-is" and "as-available" basis. We make no warranties, expressed or implied, regarding the uninterrupted operation of our systems, nor do we guarantee specific financial results, search engine rankings, or increased sales volumes as a result of using our Services.

9. Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the applicable laws of your jurisdiction, without regard to its conflict of law provisions.
